Terms & Conditions — UFO Clear

General Provisions

These Terms & Conditions govern all contracts, quotations, and deliveries of products and services provided by UFO Clear (hereafter "we" or "us") to our customers (hereafter "you"). By placing an order or requesting a quotation, you agree to be bound by these terms. They replace any previous agreements or understandings.

Quotations & Pricing

All quotations provided via email or WhatsApp are valid for thirty (30) days from the date of issue, unless otherwise stated. Prices are quoted Ex-Works (EXW) from our manufacturing partners in the United States, or as explicitly specified.

Prices do not include:

Import duties
VAT
Shipping costs
Installation costs

...unless specifically agreed in writing. We reserve the right to adjust prices due to unforeseen currency fluctuations or raw material cost increases prior to order confirmation.

Orders & Payment

Upon acceptance of your order, we will issue a formal order confirmation. Payment terms are:

Strictly net 30 days from the invoice date for established business accounts
100% advance payment via bank transfer for first-time orders and samples

We reserve the right to require partial payment before shipping large or custom orders. Ownership of the goods remains with UFO Clear until full payment has been received.

Delivery & Risk

Delivery dates are estimates provided in good faith by our manufacturing partners. We are not liable for delays caused by:

Customs clearance
Shipping carriers
Acts of God
Supply chain disruptions

Risk of loss or damage to the products passes to you:

Upon delivery to the carrier (FOB shipping point for EXW terms)
Upon delivery to your specified address (for CIF/DDP terms)

We recommend you arrange appropriate insurance for high-value shipments.

Installation Services

If we perform on-site installation or commissioning services, these will be quoted separately. We perform services with professional care using qualified technicians. However, we cannot be held liable for:

Pre-existing faults in your electrical system
Third-party interference
Damage caused by improper use of the equipment after our work is completed

All installation work is subject to a separate service agreement.

Warranty & Returns

We pass through the manufacturer's warranty (typically 18 months for the HD-1 zArc system, as specified in our product data sheets). This warranty covers manufacturing defects in materials and workmanship.

It does not cover damage caused by:

Improper installation
Misuse or neglect
Unauthorized modifications
Lightning strikes or power surges

Defective units must be returned to us for inspection and repair. Return shipping costs are the responsibility of the buyer unless we determine the defect is covered under warranty.

Limitation of Liability

To the maximum extent permitted by Dutch and EU law, UFO Clear's total liability is limited to the invoice value of the product giving rise to the claim. We are not liable for any indirect, consequential, or incidental damages, including but not limited to:

Loss of profits
Loss of data or documentation
Downtime
Any other secondary losses resulting from the failure of our products

Governing Law

These Terms & Conditions are governed exclusively by the laws of the Netherlands. Any disputes arising from our contract shall be submitted to the competent court of Rotterdam, The Netherlands.
